LICENSE: Westchester Clock Works Web Designed Software grants you a non-exclusive, non-transferable, royalty-free, copyright license subject to the terms of this Agreement. You may copy the software and materials associated with this agreement ("Materials") for your personal or commercial use and for shareware distribution. You will not reverse engineer, decompile, modify, or disassemble the Materials. Contact for Authorization Required.
OWNERSHIP AND COPYRIGHT OF MATERIALS: Title to the Materials and all copies thereof remains with Westchester Clock Works Web Designed Software or its suppliers. The Materials are copyrighted and are protected by United States laws and international treaty provisions. You will not remove the copyright notice from the Materials. You agree to prevent any unauthorized copying of the Materials. Except as expressly provided herein, Westchester Clock Works Web Designed Software does not grant any express or implied right to you under Westchester Clock Works Web Designed Software copyrights, trademarks.
LIMITATION OF LIABILITY: THE MATERIALS ARE PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL Westchester Clock Works Web Designed Software OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE MATERIALS, EVEN IF Westchester Clock Works Web Designed Software
HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EVEN THOUGH SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, ALL OF THESE ABOVE LIMITATIONS SUPERCEDES THEM AND APPLIES TO YOU.
TERMINATION OF THIS LICENSE: Westchester Clock Works Web Designed Software may terminate this license at any time if you are in breach of the terms of this Agreement. Upon termination, you will immediately destroy the Materials.
ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous oral or written agreements.
APPLICABLE LAWS: Any claim arising under or relating to this Agreement shall be governed by the laws of the State of California and the FCC, without regard to conflict of laws principles. You may not export the Materials in violation of applicable export laws and regulations.
